By accessing or using Marginra ("Service", "we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Marginra. We reserve the right to update these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

• Use the Service for any illegal, fraudulent, or unauthorized purpose
• Interfere with, disrupt, or attempt to gain unauthorized access to the Service or its infrastructure
• Attempt to access, collect, or store other users' data
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
• Scrape, crawl, or use automated means to access the Service without our express written permission
• Resell, sublicense, or commercially exploit the Service or any of its features without authorization
• Upload or transmit viruses, malware, or any other harmful code
• Use the Service in any way that could damage, disable, overburden, or impair it

We reserve the right to suspend or permanently terminate accounts that violate these Terms, at our sole discretion and without prior notice.

To use certain features, you must create an account. You are solely responsible for:

• Maintaining the confidentiality and security of your login credentials
• All activity that occurs under your account
• Providing accurate and current information during registration
• Notifying us immediately of any unauthorized access or security breach

We are not liable for any losses arising from unauthorized access to your account resulting from your failure to secure your credentials. You may not share your account with others or create accounts using automated means.

All content, features, and functionality of the Service — including but not limited to the design, text, graphics, logos, icons, software, and code — are owned by Marginra and are protected by applicable intellectual property laws.

• You may not copy, reproduce, distribute, or create derivative works from any part of the Service without our explicit written permission
• The Marginra name, logo, and branding are our proprietary marks and may not be used without permission

You retain ownership of any data or content you input into the Service. By using the Service, you grant us a limited, non-exclusive, royalty-free license to store, process, and display your content solely as necessary to provide the Service to you.

The Service relies on third-party infrastructure and services to function. These include:

• Supabase — database, authentication, and backend services
• OpenAI — AI processing for listing generation and analysis features
• Vercel — hosting, deployment, and analytics

Your use of these features is also subject to those providers' terms and policies. We are not responsible for the actions, availability, or practices of any third-party services. Links or references to third-party sites do not constitute endorsement.

Marginra provides tools for tracking inventory, sales, profit, and generating AI-assisted content. The Service is provided for informational and organizational purposes only.

• We do not guarantee the accuracy, completeness, or timeliness of any calculations, data, or outputs
• You are solely responsible for verifying all financial information before acting on it
• Nothing in the Service constitutes financial, legal, tax, or professional advice

Some features use artificial intelligence (powered by OpenAI's API) to generate listing suggestions, grades, and insights.

• AI-generated outputs may be inaccurate, incomplete, biased, or misleading
• These outputs are for informational purposes only and do not constitute professional advice
• You should not rely solely on AI-generated content for business, financial, or purchasing decisions
• Data you submit to AI-powered features may be processed by OpenAI in accordance with their usage policies
• We do not store the content of AI-generated outputs beyond what is necessary to display results to you

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the Service will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy or reliability of any content or calculations
• Warranties that defects will be corrected

Your use of the Service is entirely at your own risk.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MARGINRA AND ITS OPERATORS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Financial losses, lost profits, or lost business opportunities
• Errors in calculations, AI outputs, or data
• Service interruptions, downtime, or data loss
• Unauthorized access to your account or data
• Actions or omissions of third-party service providers

In no event shall our total cumulative liability to you exceed the greater of (a) the amount you paid to use the Service in the twelve months preceding the claim, or (b) $10 USD.

You agree to indemnify, defend, and hold harmless Marginra and its operators from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; or (d) any content you submit through the Service.

We reserve the right to suspend or terminate your account and access to the Service at any time, for any reason, including violation of these Terms, without prior notice or liability.

Upon termination, your right to use the Service ceases immediately. Sections covering intellectual property, disclaimers, limitation of liability, and indemnification survive termination.

We may modify, suspend, or discontinue any aspect of the Service at any time, including features, pricing, or availability, without notice or liability. We are not obligated to maintain any particular feature or level of service.

Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved informally by contacting us. If a dispute cannot be resolved informally, it shall be subject to binding arbitration under applicable rules, rather than in court, except that either party may seek injunctive relief in court for intellectual property violations.

You waive any right to participate in a class action lawsuit or class-wide arbitration.

These Terms are governed by the laws of the United States. You consent to the exclusive jurisdiction of courts located in the United States for any disputes not subject to arbitration.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Marginra regarding the Service and supersede all prior agreements.
